1. Acceptance of terms

By accessing and using the My-Therapy-Suite platform ("Service"), you agree to comply with and be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding contract.

3. Account registration

To access certain features of the Service, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Use of the service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service in any manner that could disable, overburden, or impair the Service or interfere with any other party's use of the Service.
  • Use any robot, spider, or other automatic devices, process, or means to access the Service for any purpose.
  • Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
  • Attempt to gain unauthorised access to, interfere with, damage, or disrupt any parts of the Service or any server, computer, or database connected to the Service.

Where you use the Service in connection with a clinical or therapeutic practice, you are responsible for ensuring that your use complies with the ethical and professional standards of your relevant professional body (for example BACP, UKCP, BPC, or HCPC) and with all applicable laws.

5. Privacy and data protection

5.1 Your use of the Service is governed by our Privacy Policy and, where applicable, our Data Processing Agreement ("DPA"), each of which is incorporated into these Terms by reference.

5.2 Where you use the Service to store or process personal data of your clients, patients, or other individuals, you acknowledge and agree that:

  • (a) you act as the data controller for that personal data within the meaning of the UK GDPR;
  • (b) My-Therapy-Suite acts as a data processor, processing personal data on your behalf and on your documented instructions;
  • (c) the Data Processing Agreement sets out the terms on which we process personal data on your behalf in accordance with Article 28 UK GDPR;
  • (d) you are responsible for your own compliance with Applicable Data Protection Law, including establishing a valid lawful basis, providing privacy notices to your clients, and responding to data subject requests.

5.3 "Applicable Data Protection Law" means the UK GDPR, the Data Protection Act 2018, and any subordinate legislation, guidance, or codes of practice issued by the Information Commissioner's Office.

6. Intellectual property

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by My-Therapy-Suite, its licensors, or other providers of such material and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to access and use the Service for the purposes contemplated by these Terms and for the duration of your subscription.

7. User content and data ownership

7.1 Clinical Data. All clinical notes, patient records, session recordings, transcriptions, assessments, treatment plans, secure messages, documents, and any other data you create, upload, or store on the Service in connection with your clinical or therapeutic practice ("Clinical Data") remain your property at all times. We do not claim any ownership of, or any licence to use, Clinical Data except as strictly necessary to provide the Service and to perform our obligations under the DPA.

7.2 Other content. Where you submit content to the Service that is not Clinical Data (for example, profile information, practice descriptions, or feedback), you grant My-Therapy-Suite a non-exclusive, royalty-free licence to use that content for the purpose of operating and promoting the Service. This licence terminates when you remove the content or close your account.

7.3 You are responsible for ensuring that any content you upload to the Service does not infringe the intellectual property rights of any third party.

8. AI-assisted features

8.1 The Service may include AI-assisted features such as session transcription, clinical summarisation, pre-session briefing, and risk signal analysis ("AI Features"). AI Features are provided to assist your clinical practice and are not a substitute for your independent professional judgment.

8.2 AI-generated outputs (including transcriptions and summaries) may contain errors or inaccuracies. You are responsible for reviewing any AI-generated content before relying on it for clinical purposes.

8.3 Details of how data is processed in connection with AI Features, including the sub-processors involved, are set out in the Privacy Policy and the DPA.

9. Payment and billing

Certain features of the Service may require payment. You agree to provide accurate and complete billing information and to promptly update your account with any changes. All fees and charges are non-refundable except as required by applicable law. We may change our fees on reasonable notice. Continued use of the Service after a fee change constitutes acceptance of the new fees.

10. Data export and portability

10.1 You may export your data from the Service at any time using the export tools provided within the platform.

10.2 On termination of your account, you will have a period of not less than 30 days from the effective date of termination to export your data. After this period, your data will be deleted in accordance with the DPA.

11. Termination

11.1 By you. You may terminate your account and these Terms at any time by following the cancellation process within the Service or by contacting us.

11.2 By us. We may suspend or terminate your account and access to the Service:

  • (a) immediately, if you materially breach these Terms and (where the breach is capable of remedy) fail to remedy the breach within 14 days of written notice;
  • (b) immediately, if your use of the Service poses a risk to the security of the Service or to the personal data of other users;
  • (c) on 30 days' written notice, for any other reason.

11.3 On termination, your right to use the Service will cease. Your rights under section 10 (data export) and our obligations under the DPA regarding return and deletion of data will continue to apply.

12. Service availability

We will use reasonable efforts to maintain the availability of the Service but do not guarantee uninterrupted access. We may suspend the Service temporarily for maintenance, updates, or security reasons. Where reasonably practicable, we will provide advance notice of planned downtime.

13. Limitation of liability

13.1 Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.

13.2 Subject to clause 13.1, to the fullest extent permitted by law, our total aggregate liability to you in connection with these Terms and your use of the Service shall not exceed the total fees paid by you to us in the 12 months immediately preceding the event giving rise to the claim.

13.3 Subject to clause 13.1, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, business, or opportunity.

14. Indemnification

You agree to defend, indemnify, and hold harmless My-Therapy-Suite, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to your breach of these Terms, your misuse of the Service, or your violation of any applicable law or the rights of any third party.

15. Governing law and jurisdiction

These Terms and your use of the Service will be governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Entire agreement

These Terms, together with the Privacy Policy, the Data Processing Agreement, and any other documents expressly incorporated by reference, constitute the entire agreement between you and My-Therapy-Suite in relation to your use of the Service.

17. Changes to terms

We reserve the right to modify these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect (by email or by prominent notice within the Service). By continuing to use the Service after revised terms become effective, you agree to be bound by the revised terms. If you do not agree, you may terminate your account in accordance with section 11.
